Senior Paralegal, Corporate Governance/Transactions

Duties: Assist with corporate filings (formations, qualifications, obtaining EINs, Certificate of Good Standing, UCC, foreign qualification process, revisions to corporate governing documents, obtaining fictitious business names, amendments, dissolutions, management changes, withdrawals, etc.) Track and manage annual report filings and other compliance activities. Maintenance of corporate information in PSJH’s entity management database (hCue). Draft and prepare a wide range of documents, including resolutions, governance documentation, certifications, consents, reports, etc. Maintain/update corporate organizational charts for Providence St. Joseph Health Assisting attorneys in preparing documentation for a variety of corporate transactions, including mergers and acquisitions and financings. This may include preparing or drafting due diligence request lists, document data rooms, form agreements, and closing binders. Collaborate with cross-functional teams to support financings, M&A and other strategic transactions, including providing support and project management for due diligence and corporate structures. May administer to and oversee quarterly due diligence and draw down processes for debt refinancing. Communicate regularly with attorneys and clients regarding the status of projects and deadlines and inform attorneys of any issues. Refine issues such that the attorney can focus her/his attention on providing legal advice and counsel to clients. A power user of Legal Tracker/iManage, iManage Share, hCue and other contract and document management systems used by DLA. When requested, reviewing existing DLA documents/database to determine if preexisting analysis or other work product is available to address a current legal request. Conduct light legal research as requested by internal and external customers. Assist attorneys in tracking ongoing matters and prioritizing the same. Request needed documentation and information from clients to ensure that the attorney has all necessary information/material prior to beginning their work/analysis/review. Compose, edit and proofread a variety of correspondence, memos, presentations and materials and directly handle within the assigned scope of authority, knowledge and understanding of activity. Communicate directly and through correspondence with high level internal and external customers. Develop, prepare and/or assemble necessary materials for meetings and presentations related to department operations or legal matters. May act as first line reviewer of legal invoices. Maintain strictest confidentiality, trustworthiness and integrity at all times. Special projects as assigned.
