Senior Legal Counsel
The candidate will provide legal counsel and guidance on a broad and diverse range of corporate, commercial, risk mitigation, compliance, and governance matters pertaining to the company and its subsidiaries. Act as lead in-house counsel on major corporate development and strategic transactions, including financing, brand formations, joint ventures, divestitures, mergers, and acquisitions. Responsible for corporate governance matters, including drafting and managing corporate resolutions, minutes, contracts, and other documentation relating to the activities of the Board of Directors and shareholder affairs. Provide business support for negotiating, drafting, and advising on a variety of AdTech agreements and transactions, including key agreements relating to customers, partnership arrangements, suppliers, and vendors. Handle day-to-day general corporate matters across the company and its subsidiaries. Draft, review, advise, and negotiate a wide variety of agreements that comply with the company's policies and risk tolerance. Collaborate with cross-functional teams, including finance, accounting, human resources, sales, marketing, product, and engineering to manage corporate transactions and initiatives and to mitigate legal risk. Keep abreast of legal developments and changes in laws and regulations related to the company's business, advise of the impact on the institution of such changes and ensure contract provisions are compliant with relevant laws. Provide counsel and oversight for all litigation, including the selection and management of outside counsel. Oversee transactional work performed by the legal team and ensure that legal/contractual guidelines and best practices are being applied. Structure and manage the company's internal legal function, including implementing internal policies, standards, and procedures and carrying out supervisory responsibilities in accordance with Smaato’s policies and applicable laws. Should have 7-10 years of relevant legal experience at a top-tier law firm or international in-house legal department; in-house experience at a digital advertising, Internet or media company is strongly preferred. Must have Law degree from a US accredited law school with strong academic credentials and bar admission. Must be experienced within the advertising technology space and with data and consumer privacy regulations (including the GDPR and CCPA). Should have familiarity with insertion orders and IAB terms and conditions for digital advertising and familiarity with both B2B and B2C aspects of the digital advertising ecosystem. Must have proven ability to lead commercial projects involving a wide range of legal issues with a global and platform focus. Should have extensive legal experience for successful operations, including corporate structuring and administration, employment, contract negotiation, regulatory compliance, intellectual property, data privacy. Must have experience working with boards of directors on a broad range of legal and business issues, governance matters and corporate strategy. Business proficiency in Mandarin is a plus.
