Accountabilities: Assist attorneys in preparation for transactional closings, depositions, hearings, board minutes, board resolutions and conferences to ensure legal department operates efficiently. Investigate the factual evidence of a transaction or case to display information in litigation reports. Obtain due diligence materials such as corporate certificates of good standing, real estate and title information, and securities filings to ensure compliance with company policies as well as local, state and federal regulations. Organize and track files of important transaction or case documents including subpoenas, pleadings and discovery document to ensure they remain organized and current. Receive agent service of process on behalf of the company and distribute and manage responses companywide to ensure effective utilization of the company’s systems and controls. Input all litigation and arbitration matters into legal database to ensure records are organized and database is up to date. Maintain subsidiaries and fictitious names to ensure the Company runs efficiently. Prepare SEC filings and notices to employees of such filings to ensure compliance with company policies as well as local, state and federal regulations. Request quarterly litigation status reports from outside counsel, consolidate and prepare quarterly litigation report and produce report for operations and accident purposes. Provide legal reporting on pre-qualification bidding questionnaires to ensure records are organized, current and accurate when representing such information to potential clients. Report to surety companies regarding status of insurance bond claims on company projects to ensure effective utilization of the company’s systems and processes.
