Profile

Under general supervision, the Assistant General Counsel will work to ensure that assigned contracts, processes, procedures, and marketing materials meet business objectives and are in compliance with applicable laws governing consumer finance. The Assistant General Counsel should have broad experience in negotiating, drafting and reviewing services contracts and software licensing/SaaS agreements, preferably in the consumer finance industry. Ideal candidate will also have familiarity with consumer loan agreements and related marketing and compliance of consumer finance products with applicable federal and state laws and regulations.

Principal Duties and Responsibilities

  • Negotiate, draft, edit and review proposed services contracts and software licensing and SaaS agreements with lender clients and with vendors, as well as other general contracts and amendments as assigned
  • Assist with regulatory licensing and regulatory compliance activities of licensed consumer lending subsidiaries and service provider subsidiaries
  • Assist in the review and revision of consumer loan forms, product marketing materials, customer facing materials and customer correspondence to assure compliance with applicable federal and state laws and regulations regarding our expanding business lines, including consumer lending, advertising and unfair, deceptive and abusive acts and practices.
  • Participate on business teams to provide legal support for new or existing programs and processes
  • Assist with negotiating commercial warehouse lines and other funding vehicles
  • Lead or participate in other legal projects and matters as assigned
  • Engage with assigned business units to meet goals
  • Pursue details and achieve closure on various matters
  • Occasional travel as needed

Experience and Education

  • Baccalaureate degree and Juris Doctor degree
  • 5+ years of transactional experience in the financial services and/or software industries
  • Solid and varied services contract drafting and software licensing/SaaS skills required
  • Consumer finance industry experience strongly preferred; online lending experience a plus
  • Experience in negotiating commercial warehouse lines and other funding vehicles also a plus
  • Candidate must be a member in good standing with a state bar, must have expertise with federal and state laws and regulations regarding advertising and unfair, deceptive and abusive acts and practices, and should have a working knowledge of federal consumer lending rules such as the Truth in Lending Act.
