Senior Vice President, Registered Funds Counsel
The candidate will support fund and separate account formations, closings and ongoing operations. Collaborate with cross-functional teams to ensure sound fund formation, onboarding, and implementation. Work closely with outside counsel to draft legal documentation. Negotiate legal agreements, such as LPAs and side letters, with prospective investors. Partner with private client group to negotiate distribution agreements with channel partners and form bespoke products specific to the channel. Serve as trusted advisor to operational and investment teams on ongoing and ad hoc matters. Seek out opportunities to strengthen internal controls and procedures within the legal and regulatory compliance team. Partner with other operational functions and investment teams to support the ongoing creation and/or enhancement of policies and procedures. Negotiate legal agreements between the Firm or its affiliates with external counterparties in connection with non-investment aspects of its business. Support the investment process, as needed. Assist with design and documentation of Firm governance matters and employee training. Mentor more junior members of the legal team. Monitor and advise on changes to federal and state laws, rules and regulations applicable to the Firm and its funds. Conduct corresponding training, as appropriate, and offer to lead/support with the implementation of new protocols needed to ensure compliance. Assist the Firm in the creation and maintenance of policies, procedures, books and records. Such other responsibilities may be determined from time to time.
