Responsibilities: Help with corporate governance processes, including preparing, organizing, and filing materials and minutes for board of director and committee meetings, including resolutions, meeting minutes, consents, and other documentation as requested. Help with director administration matters, including managing director and officer questionnaires, managing annual director evaluations, and maintaining records related to entities affiliated with directors and officers. Support the preparation and filing of SEC disclosure statements, including assisting with the preparation of disclosure, and maintaining filings calendars, including 10-K, 10-Q, 8-K, and annual proxy. Prepare Section 16 filings via the SEC Connect platform, including Form 3, Form 4 and Form 5. Support planning and logistics related to annual meeting of shareholders, including managing vendors, preparing meeting materials, maintaining a proxy calendar and conducting day-of organization. Support strategic transactions through data room administration, document preparation and post-closing integration and administration. Manage and maintain company's state qualifications, including applying to do business in new jurisdictions and managing annual reporting, annual fees and other obligations necessary to maintain qualifications. Manage and maintain the company’s foreign and domestic subsidiaries and liaise with the company’s corporate registrars. Support administration of the company’s equity plans, including managing review and execution of 10b5-1 plans, trading blackouts and the employee share purchase program. Support the execution and maintenance of different day-to-day legal contracts typical of a biotech or pharmaceutical organization, including confidentiality agreements; maintain the company’s software-based contract lifecycle management system, including data entry, quality assurance, report generation, and troubleshooting. Support general corporate and legal matters and other special projects, as requested, including those related to employment, immigration, regulatory matters, risk management, and contract management. Assist in the maintenance and review of the legal department’s budget, including submitting requests for POs for legal vendors.
