Strategic Transactions Officer

The candidate will play a key role in a team-based approach to faculty-centric development and execution of sponsored research, collaboration, and related agreements. Will develop, draft, negotiate, and review complex agreements with non-federal sponsors. Responsibilities include collaborating with OSATT catalyst on developing, negotiating, and completing complex agreements in support of faculty and Institute needs; drafting, negotiating, and commenting upon complex sponsored research and collaboration agreements with industry partners and international and philanthropic organizations, consortium agreements, and other related agreements; advising OSATT on complex contractual issues and ensuring clear understanding of potential resolution options; reviewing, drafting, and negotiating confidentiality, data use, and material transfer agreements as requested; working with OSATT alliance managers to resolve post-execution contract issues; and maintaining knowledge of current trends and developments in the field. Will report to the OSATT director of strategic transactions. Should have a bachelor’s degree and JD; 7 years of relevant experience drafting complex research and commercial agreements; experience negotiating complex contracts; excellent communication, drafting, negotiation, collaboration, problem-solving, and decision-making skills; ability to grasp complex legal and business issues; a strong customer-focused approach to the work; and the ability to work effectively in support of business development and/or research administration and technology transfer professionals. Should have knowledge of academic research principles, research integrity policy (conflict of interest, IRB, IACUC, etc.), and intellectual property law (copyright, patent) required.
