Legal Assistant, Corporate And Securities
The candidate will be preparing and filing various SEC documents, including Current Reports on Form 8-K and Section 16 filings for our Company's officers and directors, as well as assisting in the preparation of the proxy statement and other documents, including overseeing data collection (including from a stock plan administration tool), and preparing for the annual shareholders’ meeting. Assisting with completion of NYSE listing requirements, including periodic attestations and dividend declarations. Assisting with managing the Company’s Corporate Social Responsibility program and public reporting efforts. Liaising with transfer agent regarding DWACs, shares outstanding reports, dividend fundings, and escheatments, and reconciling transfer agent’s records with the Company’s records. Managing the Company’s stock ownership guidelines compliance. Assisting with all other legal and regulatory matters pertaining to the Company's status as a public company. Collaborating with the governance team (comprised of the General Counsel, Associate General Counsel, another Legal Assistant, and this new role) to support the Board of Directors and its Committees with certain corporate governance matters. Managing U.S. corporate entity governance (i.e., formation, mergers, and dissolutions) and other corporate secretarial matters, including secretary certificates, data requests, officer appointments, etc., and partnering with **MEMBERS ONLY**SIGN UP NOW***. Europe for non-U.S. corporate entity governance. Partnering with Internal Controls to ensure SOX compliance on behalf of the Law Department. Partnering with various members of the Law Department in order to draft, review, assess, and edit a variety of contracts, including service agreements, vendor agreements, NDAs, etc., and managing the process of signing and tracking legal documents using a global contract management system. Identifying and implementing technology for Law Department to streamline and improve practices, including managing the rollout and training for new systems, as appropriate. Providing general support to Law Department and assisting with special projects, as needed. Must have Bachelor's degree. Should have 5+ years’ corporate and securities legal assistant experience at a major NYSE company or AmLaw 100 law firm. Must have substantive expertise in public company governance, Section 16 reporting obligations, and other SEC rules and obligations affecting public companies. Must be able to handle highly-sensitive information and maintain confidentiality at all times. Excellent organization and communication skills (written and verbal) required. Must be proficient with Microsoft Office applications, Westlaw/LexisNexis online legal research, and able to learn new technology and software applications.
