Corporate Securities and Business Counsel

Duties: Provide legal counsel on securities law compliance and draft and file SEC reports, including current and periodic reports (Forms 8-K, 10-Q and 10-K), proxy statements, Section 16 filings, and other securities filings. Chair the disclosure committee responsible for oversight of Allison’s periodic reports. Support compliance with NYSE listing and governance requirements. Advise investor relations, corporate communications, and corporate financial reporting functions on disclosure and securities matters, including in connection with press releases, investor presentations and management presentations. Support environmental, social and governance (ESG) efforts, including compliance with SEC rules. Assist with corporate governance matters, including Board and committee support. Provide broad-based equity compensation program support and advice on executive compensation matters, 10b5-1 plans, and insider trading. Provide legal support for debt and equity offerings and other transactional corporate matters, including mergers and acquisitions. Assist where needed on other legal matters, both domestic and international. Help to develop, implement, and continually improve the company and team processes and procedures
