Senior Director, Corporate Counsel
The candidate will contribute to the implementation, training and management of various domestic and international compliance programs, including anti-corruption, import/export, privacy and data security. Manage domestic and foreign subsidiary corporate governance. Assist with preparation of NYSE and SEC filings. Provide counsel on executive compensation matters. Assist with significant corporate transactions, including financings, M&A, and strategic relationship transactions. Perform work on various general corporate matters, including routine transactional documents and license agreements. Collaborate with finance, including tax and treasury, and equity compensation teams on various matters. Support additional team projects, as needed. Should have Law degree (JD) and a license to practice law in at least one U.S. State, plus at least 7 years of experience in a corporation and/or law firm handling corporate compliance and corporate transactional matters. Ability to work independently with minimal supervision or assistance to produce a high-quality work product. Ability to analyze complicated factual situations and apply legal knowledge to advise clients in terms that are easily understood by business clients. Ability to use good judgment and common sense when interacting with outside and inside contacts and performing job functions. Must have excellent verbal and written skills.
