Washington National Tax | Senior Manager

The candidate will assist our corporate and private equity clients with tax due diligence, tax structuring and tax modeling on buy-side and sell-side transactions to enhance tax opportunities and mitigate risks. Prepare due diligence reports. Analyze and understand complex tax issues focused primarily in the Subchapter C corporate tax world with an emphasis in preparing and reviewing tax stock basis analyses, earnings & profits analyses (“E&P”), and Section 382 analysis, as well as other complex consolidated tax return issues through research modeling and drafting memos on such complex issues. Direct complex tax research, formulate tax-planning strategies, and gain an deep understanding of complex tax rules and regulations focused primarily in the U.S. federal tax rules and consolidated regulations. Lead projects on complex tax matters such as Section 382, E&P studies, basis studies, debt restructurings and related items. Assist with research and draft memos on a variety of complicated Sub C and transactional matters. Assist with tax opinion letters. Licensed CPA or J.D. At least 8 years of M&A experience. Prior experience with the Internal Revenue Service and/or the IRS Office of Chief Counsel is a plus. Knowledge of a broad range of corporate tax matters in various industries. Strong project management skills with the ability to manage multiple client engagements simultaneously. Excellent research and writing skills.
