Corporate Associate
The candidate should be a mid-level associate to advise clients in numerous types of equity and debt financings as well as M&A transactions. Will use familiarity with employment matters, equity compensation matters, software licensing, and intellectual property issues to advise emerging and growth stage technology and life science companies, as well as venture capital firms and angel investors. Must have 3-5 years of experience in corporate governance with meaningful corporate/transactional experience in a large law firm setting. Should have a background in outside general counsel services with emphasis on formation, equity and debt financings, and M&A transactions. Must have excelled academically and preferably have experience in cap table and waterfall modelling and familiarity with Carta. Experience in representing emerging companies and venture capital firms is required. Must be admitted to the State Bar of NY.
