JOB DESCRIPTION:

Summary/Objective

The general counsel is responsible for leading corporate strategic and tactical legal initiatives. The general counsel provides senior management with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. The general counsel is directly involved in complex business transactions in negotiating contracts and leases.  Provides advice and assistance to company general managers on leases, contracts, liability issues/implications and personnel actions.  The general counsel serves as the company compliance officer on all matters affecting the company.

  1. Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.
  2. Serves as key attorney/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.
  3. Judges the merits of major court cases filed against or on behalf of the company and works with the appropriate executive(s) to define a strategic defense.
  4. Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with all applicable laws and regulations, including in each of the states where the company operates.
  5. Structures and manages the company’s internal legal function.
  6. Oversees the selection, retention, management and evaluation of all outside counsel.
  7. Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.
  8. Participates as legal counsel on all company internal investigations.
  9. Assumes ultimate responsibility for ensuring the company conducts its business in compliance with all related HR functions.

Supervisory Responsibility

This position has no direct supervisory responsibilities, but does serve as a coach and mentor for the subordinate general managers.

Work Environment

This job operates in a professional office environment. This role routinely uses standard office equipment such as computers and associated business software, phones, photocopiers, filing cabinets and fax machines.

Position Type/Expected Hours of Work

This is a full-time position. Days and hours of work are Monday through Friday, 8:00 a.m. to 5:00 p.m. Occasional evening and weekend work may be required as job duties demand.

Travel

Travel to company locations is a necessary aspect of this position.  This position requires up to 25 percent travel.

Required Education and Experience

  1. Law degree.
  2. Admitted to the bar.
  3. Minimum of six years’ experience in a law firm environment.
  4. Experience working on matters of corporate governance.
  5. Experience managing other attorneys and supervising support staff in a corporation; experience with cost-effective management of outside legal resources.
  6. Experience in directing strategy and managing litigation.

 

Preferred Education and Experience

  1. Ten years’ experience as a practicing litigation lawyer before moving to an in-house position.
  2. Broad, overview experience in contract law and employment law.
