Manage equity issuance and capitalization table (Carta). Advise on fundraising and merger and acquisition efforts, including drafting of term sheets and long form agreements. Work with HR to draft/review/revise employee handbook and offer package templates. Prepare severance agreements. JD from a US law school. Admitted to practice law in the United States and eligible to practice law in-house. 6+ years experience as a practicing attorney. Significant contract drafting and review experience. Demonstrated expertise in corporate and business development activities. Ability to work in a fast-paced and evolving environment. Outstanding written and oral communication skills. Ability to balance risk against business needs. Ability to build collaborative relationships with leaders and co-workers at all levels. Extensive experience negotiating with opposing counsel and working with internal stakeholders to close deals and further the company’s interests. Technical knowledge of web and internet services, ideally internet advertising and data flows. Understanding of the TV, Media, Entertainment, & Advertising Spaces. Working of knowledge of data privacy laws, regulations, and issues (GDPR, CCPA/CPRA, privacy-by-design). Litigation, compliance, operations experience.
