Corporate Paralegal
The candidate will include organizing, prepare and file articles of incorporation/ organization, state qualifications, organizational and related documents. Prepare documents for transactions such as closing statements, UCC searches, and filings, file annual reports in states where corporations are incorporated and/or qualified to do business and maintain capitalization tables as well as stock and options ledgers. Organize documents and close books in connection with corporate transactions such as acquisitions and mergers. Will also, develop, monitor, and update closing checklists, perform Blue Sky research and filings, maintains minute books (hard copy and electronic), and manage data rooms and matter files. College degree and/or a paralegal certificate. Should have 3 years of experience as a paralegal in a legal department or law firm. Should have strong skills in Microsoft Word, Excel, and Outlook; strong verbal, written, and interpersonal skills required; strong organizational skills and attention to detail. Should preferably have experience in a large law firm or professional services organization; in Blue Sky; private and public company experience.
