Senior Counsel- Governance

The candidate will develop board and committee agendas; prepare policies, practices, board resolutions, presentation materials, and other materials for board and committee meetings; review materials prepared by others; prepare minutes. Facilitate, and suggest improvements to, board governance and corporate governance processes; review and interpret committee charters, regulations, and regulatory guidance to determine appropriate governance process for corporate actions; work with committee chairs and secretaries on workflow, documenting decisions, and harmonizing practices across the organization; have a comfort level using technology to improve processes. Assist in all aspects of meeting planning, preparation, and execution for meetings of the boards of directors and board committees, including scheduling, transportation, lodging, and logistics. Works closely members of the boards of directors and company leaders; liaise with other departments; must have a strong customer service aptitude and can-do attitude; takes role in leading critical initiatives within the company; takes an active interest in the development of others throughout the Legal Department. Communicate directly in-person, by telephone, by videoconference, and by email with directors, bank officers, and other associates to prepare for and execute board and corporate governance responsibilities; must communicate clearly, effectively, and politely. Juris Doctor Degree from accredited institution and six (6) years of corporate or equivalent governance or financial services experience. Must work well under pressure and independently. Must be able to handle successfully multiple and varied projects simultaneously. Excellent interpersonal and written communication skills. Strong personal organizational skills. Problem solving skills. Collaborating with others. Strong Microsoft Office capabilities and ability to implement and learn new software applications. Banking or financial services experience. Experience in a leading law firm or corporate legal department, or equivalent experience serving in legal functions within the United States military or government. Experience working in support of high-level, strategic leaders. Experience as a corporate secretary or performing functions of a corporate secretary. Strong academic credentials. Attention to detail. Experience managing projects and processes.
