Duties: Assist with enterprise governance matters. Prepare consents and minutes, annual reports, certifications, powers of attorney, stock records and other corporate and transactional documentation for **MEMBERS ONLY**SIGN UP NOW***. and its legal entities. Maintain **MEMBERS ONLY**SIGN UP NOW***.’s legal entity management database. Perform and support continuous maintenance relating to **MEMBERS ONLY**SIGN UP NOW***. and its legal entities. Act as a research and information source for current and historical corporate information. Support transaction, finance and tax teams with respect to organizational and governance matters. Support enterprise legal team with respect to general commercial matters and M&A matters. Maintain project files and keep all matters updated and current. Review documents and transmit information and documents to outside counsel and company personnel with minimal guidance. Manage special projects outsourced to consultants or outside counsel. Provide various other administrative support consistent with the position.
