A law firm based in Dallas, TX, is seeking a Junior/Mid-Level Finance Attorney with 4-6 years of experience to join its dynamic team. The ideal candidate will have a solid background in representing commercial banks, private credit lenders, private equity and corporate borrowers, and investors in various financing and investment transactions. The role involves handling complex debt financing and hybrid investment transactions, including senior-secured, junior-secured, and mezzanine loans, acquisition financings, and other structured financings.

Duties and Responsibilities:

• Represent commercial banks, private credit lenders, private equity and corporate borrowers, and investors in debt financing and hybrid investment transactions.
• Manage and advise on senior-secured, junior-secured, and mezzanine loan transactions.
• Oversee and negotiate acquisition financings and other structured financings.
• Draft, review, and negotiate financing agreements and related documentation.
• Provide legal advice on financing structures, terms, and conditions.
• Collaborate with clients to understand their needs and objectives.
• Conduct thorough due diligence and risk assessments for financing transactions.
• Maintain up-to-date knowledge of relevant laws, regulations, and industry trends.
• Assist with litigation and dispute resolution related to financing transactions.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• Licensed to practice law in the state of Texas.
• 4-6 years of finance law experience, focusing on debt financing and hybrid investment transactions.
• Proven experience representing commercial banks, private credit lenders, private equity, and corporate borrowers.
• Strong understanding of senior-secured, junior-secured, and mezzanine loans.
• Experience with acquisition financings and structured financings.
• Excellent analytical, negotiation, and drafting skills.
• Ability to manage multiple complex transactions simultaneously.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Licensed to practice law in Texas.
