Senior Counsel, NA Commercial Legal

The candidate will structure, review and negotiate outbound (revenue) commercial software and Cloud services agreements, with a primary focus on public sector transactions, as well as services, partner, and procurement contracts. Manage risk and ensure business and compliance needs are accurately reflected in agreements. Respond promptly to the demands of an active technology sales team and their management. Support business initiatives, new go to market structures and programs and other projects as required. A Juris Doctorate or equivalent from an accredited major law school and licensed to practice in the United States. Should have 5 years of experience with some in-house commercial licensing/SaaS experience. Significant experience drafting, reviewing and negotiating complex software, SaaS, services, partner and procurement agreements. Significant experience relating to software and SaaS-centric issues, such as revenue recognition, tax, privacy, security, HIPAA, GDPR, intellectual property rights, etc. Strong analytical, drafting, communication, collaboration and negotiation skills. Proactive, self-motivated, organized and able to meet multiple competing priorities in a fast-paced environment without substantial supervision. Has intellectual curiosity and a desire for continuous learning. Able to deal with ambiguity and develop creative and pragmatic solutions for complex and evolving issues in a rapidly changing environment. Demonstrates consistently good judgment and impeccable integrity.
