The candidate provides central management of the contract intake and review process and lead management of the contract management system tool. Provides substantive legal support to attorneys in the review of legal documents by creating redlined comparison documents, and coordinating with applicable stakeholders in the review of specific contract provisions (including partnering with Corporate Insurance, Corp. Compliance, Finance, IT Security, IT Legal, Tax, and Corp. Security) edits drafts of legal documents consolidating attorney’s comments with the comments provided by other stakeholders. Provides substantive administrative support and legal assistance in researching, investigating, drafting, preparing, filing, organizing and distributing legal documents. Creates and maintains legal tracking tools for department; tracks, maintains and manages attorneys’ transactions/matters in a self-created tracking tool (spreadsheet with embedded formulas to maintain accurate disposition of all transactions) and provides applicable stakeholders with contract information; handles attorneys’ follow-up calls and e-mails. Prepares and obtains documents for various legal entities for procurement, client services, real estate and other transactions (obtains copies of State qualifying and State business licenses, name change certificates, documents related to corporate filings; drafts powers of attorney and prepares W-9s). Handles execution of finalized legal documents and distribution of fully executed legal documents to internal business partners. Assists internal business partners to maintain the applicable contracts databases up to date (i.e. Ariba, ContractPodAI and CoStar). Leads implementation of Contact Management System changes. Maintains Diary on Attorney workflow and make follow-up telephone calls on status of each file. Maintains relationships with domestic and international in-house counsel and outside counsel, internal and external business clients and third parties. Participates in conference calls as a translator when necessary. Conducts research regarding local laws and requirements and their respective application in connection with the transaction at hand. Creates and maintains outside counsel matters in Ascent, including invoice payments and prepares legal reporting such as quarterly legal expense reports, matter list reports and status reports. Maintains general contact and communicates regularly with outside counsel, (if any), third parties and internal stakeholders regarding corporate and commercial matters. Monitors delivery of legal correspondences and tracks the status of execution of legal documents. Provides legal review and advice and substantive legal support under minimal attorney supervision. Communicates and coordinates with company managers and related departments on select legal issues. Investigates facts, collects information, effectively summarizes the material, prepare responses on behalf of attorneys in connection with Legal Department functions, and review and negotiate the process. Prepares presentations and meeting agendas for attorneys. Prepares expense reports, makes travel arrangements, requests checks and pays invoices through SAP; handles payments of licenses, certifications and membership dues for members of Legal Department’s Corporate Team.
