Assistant General Counsel
The candidate will be responsible for: Review and drafting (in concert with the Company’s financial team) of the Company’s ’33 Act and ’34 Act securities filings. Compliance with state and federal securities laws and integration of all disclosure requirements. Review of legal aspects of potential acquisition prospects and financing projects and preparation of purchase and funding documents, and related diligence, relating thereto. Compliance with the Company’s secured credit agreement covenants (in concert with the Controller). Review of customer contracts such as Master Service Agreements and related Service Agreements. Compliance with master limited partnership requirements related to customer contracts. Coordination with Board and committee members regarding informational requests and corporate approvals. General partnership-related issues. Other legal aspects of a publicly-traded, operations-based company. Must have J.D., licensed in Texas. Should have 5+ years of experience (more preferred) in private firm or in-house practice. Broad and deep experience in securities / M&A / transactional issues required. Must have experience in review and drafting of a broad array of contracts and transactional agreements. Should have excellent writing and analysis skills.
