Duties: Reports to the Vice President & General Counsel, supporting the legal and risk management department. Provide administrative support to legal and risk management department; answer and direct phone calls, sort and distribute mail, prepare correspondence, organize and maintain files, maintain contact lists, etc. Facilitate department communications with facilities, clients, outside law firms, etc. Coordinate department meetings, conferences and other activities. Receive and track service of process. Coordinate with IS to maintain the internal litigation system and build reports for meetings and proposals. Assist in coordination of special reports and maintain control of reports due in or out of the office. Track and maintain professional memberships for department staff. Create, update and maintain organizational documents, including articles of incorporation or dissolution, bylaws, stock certificates, merger agreements, etc. Draft corporate resolutions and other similar documents. Prepare and revise teaming agreements, subcontracts and nondisclosure and other agreements based on existing forms. Prepare and file paperwork required by regulatory bodies and assist with compliance programs. Locate and develop case relevant information on pending claims. Respond to internal and external requests for information, including assisting in gathering necessary documentation from corporate and site locations. Perform basic legal research and draft routine legal documents for review and use by department attorneys and other department staff. Categorize and interpret data and review and analyze reports, information responses, and case records. Coordinate requests between multiple parties involved in litigation. Organize relevant documents for attorney review and case or project preparation. Proof-read pleadings, prepare exhibits, and e-file documents. Track, maintain, and keep current all required state registrations with each Secretary of State for the company and all subsidiaries. Update contract management system by entering new contracts and tracking contracts for expiration and renewal. Maintain calendar of events, schedules, appointments and prepare minutes of meetings. Monitor deadlines. Track and maintain all company trademarks. Maintain accountability of property; adhere to safety practices.
