Job Overview

A law firm seeks an experienced midlevel associate to join their Corporate M&A team in Miami, FL. The ideal candidate will have three to five years of Corporate M&A experience, with a preference for private equity transaction experience.

Duties

• Draft, review, and negotiate merger agreements, stock purchase agreements, and related documents.
• Manage and close M&A and related transactions.
• Conduct legal due diligence.
• Advise clients on general corporate and business matters.
• Work with representation and warranty insurance underwriting.

Requirements

• Three to five years of Corporate M&A experience.
• Private equity transaction experience preferred.
• Strong academic credentials and excellent communication skills.
• Ability to work independently and as part of a team.

Education

• Juris Doctor (JD) degree required.

Certifications

• Bar admission in the state of Florida.

Skills

• Strong analytical and problem-solving skills.
• Excellent negotiation and drafting abilities.
• Proficiency in managing complex transactions.
