An East Coast-based law firm with national reach is seeking a Corporate Associate with 3–5 years of experience in private equity, investment management, and corporate transactions. This associate will join a growing team advising on fund formation, investment adviser regulatory matters, and complex transactions for a sophisticated client base including institutional investors and family offices. The role offers flexibility in location across several major U.S. markets and supports a hybrid work arrangement.

Draft and negotiate documentation for private equity and venture capital financings, joint ventures, mergers and acquisitions, and other corporate transactions
Form private funds, including open- and closed-end funds, and prepare associated documents such as:
Investment management and sub-advisory agreements
Private placement memoranda (PPMs)
Limited liability company and limited partnership agreements
Subscription agreements and side letters
Advise on investment adviser regulatory compliance and fund structuring
Counsel institutional investors and family offices on investment strategies and documentation
Support clients in navigating SEC and other regulatory frameworks related to investment management
Collaborate closely with cross-disciplinary teams on high-value matters
3–5 years of demonstrated experience in investment management and private fund formation
Substantial experience drafting and reviewing sophisticated investment and fund documents
Familiarity with investment adviser regulations and compliance issues
Experience working with family offices and institutional investors (preferred)
Bar admission in good standing in the jurisdiction of intended practice
Juris Doctor (JD) from an accredited U.S. law school
Strong academic credentials required
Active state bar membership in applicable jurisdiction (required)
Strong written and verbal communication skills
Excellent technical legal skills and professional judgment
Proven client service capabilities
Ability to manage responsibilities independently and meet deadlines
Creative problem-solver with a proactive approach
Team-oriented with effective collaboration skills
