The candidate supports and demonstrates core values. Values and understands the importance of diversity, equity, and inclusion among all associates. Assists the General Counsel as legal adviser on the legal implications of all organization activities and problems. Develops and maintains compliance with corporate, intellectual property, privacy and other policies and practices. Leads strategy for regulatory responses and proceedings. Responsible for employee benefits practice compliance and client-related issues. Primary oversight of securities filings, equity plans, and the Company’s internal benefit plans and 401(k) plan. Provides legal advice and guidance to the executive/senior management on a wide variety of legal issues involving corporate, contract, labor & employment, insurance and employee benefit regulations, ERISA, litigation and transactional matters. Keeps abreast of legislative and administrative regulatory developments. Devises and implements legal strategies and best practices to minimize operational risk exposure. Drafts, reviews, and negotiates agreements for a variety of functions, including NDAs, RFPs, carrier contracts, fee agreements, employment and compensation agreements, independent contractor agreements, stock award agreements etc. As determined by the General Counsel, participates and may lead certain negotiations of transactions on behalf of the Company. Manages relationships with outside counsel. Acts as the Company’s Privacy Officer for compliance with all federal and state privacy laws and regulations.
