A law firm seeks a Corporate Associate with 2 to 4 years of securities and capital markets experience in Las Vegas, NV. The ideal candidate will have a strong background in handling Exchange Act filings and representing issuers and underwriters in various offerings.

Duties

• Prepare Exchange Act filings, including Forms 10-K, 10-Q, and 8-K.
• Represent issuers and underwriters in equity and/or debt offerings.
• Counsel public companies on disclosure and corporate governance.
• Advise on SEC and stock exchange reporting and compliance matters.
• Engage in general corporate and transactional matters.

Requirements

• 2 to 4 years of relevant experience in securities and capital markets.
• Bar admission or eligibility to obtain admission promptly in the jurisdiction of resident office location.

Education

• Juris Doctor degree from an ABA accredited law school.

Certifications

• Bar admission in the relevant jurisdiction.

Skills

• Strong understanding of Exchange Act filings and corporate governance.
• Experience with SEC and stock exchange compliance.
• Proficiency in handling equity and debt offerings.
