Job Overview

A law firm seeks a Debt Finance Associate with 3-6 years of experience to join its practice in Columbus, OH. The ideal candidate will have a diverse background in secured lending transactions, primarily in the middle market, and experience with various credit facilities.

Duties

• Represent arrangers, agents, lenders, and borrowers in syndicated or bilateral credit facilities.
• Draft, review, and negotiate loan documents, including credit agreements and security agreements.
• Engage in secured personal property transactions, including UCC Article 9.
• Negotiate and obtain third-party deliverables, such as control agreements and insurance endorsements.
• Conduct standard diligence for debt finance transactions from both lender and borrower perspectives.
• Organize and manage complex closing processes.
• Work with substantial clients, including debt funds and private equity sponsors.
• Draft and negotiate legal opinions for candidates with over 4 years of experience.

Requirements

• Admission to practice law in the State of Ohio.
• Experience with a varied scope of secured lending transactions.

Education

• Juris Doctor (JD) degree.

Certifications

• Licensed to practice law in Ohio.

Skills

• Strong negotiation and drafting skills.
• Familiarity with UCC Articles 8 and 9.
• Ability to manage complex transactions and closing processes.
