Duties
- Represent arrangers, agents, lenders, and borrowers in syndicated or bilateral credit facilities.
- Draft, review, and negotiate loan documents, including credit agreements and security agreements.
- Engage in secured personal property transactions, including UCC Article 9.
- Negotiate and obtain third-party deliverables, such as control agreements and insurance endorsements.
- Conduct standard diligence for debt finance transactions from both lender and borrower perspectives.
- Organize and manage complex closing processes.
- Work with substantial clients, including debt funds and private equity sponsors.
- Draft and negotiate legal opinions for candidates with over 4 years of experience.
Requirements
- Admission to practice law in the State of Ohio.
- Experience with a varied scope of secured lending transactions.
Education
- Juris Doctor (JD) degree.
Certifications
- Licensed to practice law in Ohio.
Skills
- Strong negotiation and drafting skills.
- Familiarity with UCC Articles 8 and 9.
- Ability to manage complex transactions and closing processes.
