Job Overview:
A distinguished law firm based in Portland, OR, is seeking a seasoned Principal Attorney to join its Business Group, with a concentration on emerging companies and venture capital matters. This opportunity offers a platform to expand a client portfolio across a wide range of industries while leading complex corporate transactions. Duties:

• Advise early-stage and emerging businesses on corporate governance and strategic transactions

• Structure and lead private offerings, capital raises, and debt and equity financings

• Represent clients in transactions involving angel investors, venture capital funds, syndicates, and banks

• Counsel clients on public company compliance, securities regulations, and capital markets activities

• Support merger and acquisition transactions across multiple industry sectors

• Provide day-to-day business counseling to existing small and large corporate clients

• Collaborate with attorneys across multiple office locations to deliver comprehensive client service

• Contribute to pro bono and diversity initiatives as part of the firm's broader professional commitment

Requirements:

• Minimum of 7 years of experience handling early-stage company representation and capital raise transactions

• Experience with private placements, venture financings, public company matters, and M&A transactions

• A partial portable book of business is required

• Exceptional writing, analytical, and negotiation skills

• Strong client-relations abilities and commitment to responsive service

• The capacity to manage multiple projects simultaneously with excellent organizational skills

• Ability to work both independently and as part of a diverse legal team

Education:

• Juris Doctor (JD) degree from an ABA-accredited law school

Certifications:

• Active license to practice law in Oregon or ability to waive into the Oregon Bar

Skills:

• Expertise in corporate governance, venture financing, and securities law

• Deep understanding of early-stage company lifecycle and investment structuring

• Business development acumen to grow and nurture a client portfolio

• Highly detail-oriented with excellent organizational and project management capabilities

• Strong interpersonal communication and relationship-building skills
