Job Overview

A law firm seeks an experienced Senior Corporate Associate to join its Corporate & Securities practice group in Santa Barbara, CA. The ideal candidate will have substantial experience in venture capital transactions, mergers and acquisitions, and general corporate matters, with the ability to work independently while mentoring junior associates. This role offers the opportunity to work on sophisticated transactions for market-leading clients across various industries.

Duties

  • Lead and manage venture capital financings, including Series A-C rounds, convertible note offerings, and SAFE transactions.
  • Handle middle-market M&A transactions, including stock and asset purchases, mergers, spin-offs, and joint ventures.
  • Draft, review, and negotiate complex transaction documents including purchase agreements, investment agreements, stockholder agreements, and disclosure schedules.
  • Provide ongoing corporate governance advice to public and private companies.
  • Mentor and supervise junior associates and support staff.
  • Develop and maintain strong client relationships.
  • Collaborate with other practice groups including tax, employment, IP, and regulatory teams.

Requirements

  • J.D. from an accredited law school with strong academic credentials.
  • 4-7 years of corporate law experience with emphasis on venture capital and M&A transactions.
  • Experience with general corporate matters including entity formation, corporate governance, and securities compliance.
  • Demonstrated ability to manage multiple complex transactions simultaneously.
  • Strong drafting, analytical, and communication skills.
  • Ability to work effectively under pressure and meet tight deadlines.

Education

  • J.D. from an accredited law school.

Certifications

  • Bar admission in the state of California.
