Senior Counsel, Commercial Contracts
The candidate will report to the Deputy General Counsel and will have the opportunity to work as part of the firm internal legal team. Will provide in-house contract counsel to all firm business units, including the procurement, supply chain, logistics, marketing, and real estate teams. This includes partnering with various business partners to draft, review and negotiate a wide variety of contractual agreements and documents, including non-disclosure agreements, master service agreements, lease agreements, license agreements, consulting agreements, subscriptions agreements, software-as-a-service (SAAS) agreements, and carrier agreements. Represent the firm in a professional manner and work to secure advantageous terms for the company. Review, analyze and negotiate complex commercial agreements, including transactions relating to domestic and international supply chain, procurement, marketing, professional services, logistics, transportation, and real estate. Build relationships with internal stakeholders and clients in order to effectively support the company’s business objectives. Interpret and explain contract terms and conditions to internal stakeholders and clients. Work in parallel with other members of the legal team in multiple regions of the world to provide strategic direction while aligning the legal activities with recognized best practices. Advise stakeholders on the potential impact and risks of particular contractual provisions and engagements and provide recommendations and guidance to mitigate such risks. Work with internal stakeholders and other members of the legal team as needed to finalize specialized contractual provisions, legal documentation, and contracts. Help develop and refine the firm’s commercial contracting processes and policies, including training relevant stakeholders. Stay current on relevant laws and regulations that affect the company’s operations, including laws and regulations in domestic and applicable international jurisdictions. Act discreetly in handling sensitive and confidential matters. Perform additional projects and responsibilities, as requested.
