Duties

• Represent clients in mergers and acquisitions and securities offerings.
• Advise clients on compliance and general business matters.
• Form entities and structure transactions.
• Negotiate and draft complex transaction documents.
• Manage transaction due diligence processes and closings.
• Ensure compliance with federal and state securities laws and filings.
• Build and maintain client relationships.

Requirements

• Minimum of 3 years of experience in corporate, securities, M&A, and general business transactions.
• Licensed to practice law in Utah or willing to become licensed.
• Licenses in California, Nevada, or other jurisdictions are beneficial.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Licensed to practice law in the State of Utah.
