A law firm seeks a Corporate Attorney in New Orleans, LA, with 3 years of experience advising venture-backed startups and emerging growth companies. Duties
- Advise startups, founders, and investors on entity formation, structuring, and governance
- Draft and negotiate venture capital financing documents, SAFE and convertible notes, and preferred equity deals
- Counsel clients on corporate governance, equity compensation, and compliance issues
- Support mergers, acquisitions, and other strategic transactions involving emerging companies
- Review and draft commercial agreements including NDAs, service agreements, and licensing contracts
- Conduct due diligence and manage closing documentation
- Stay informed on legal trends affecting startups and venture capital transactions
- Collaborate with cross-functional teams, including tax, IP, and employment attorneys, as needed
Requirements
- 3 years of experience in venture capital, startup, or general corporate transactional law
- Experience representing early-stage companies and/or investors in financing transactions
- Strong understanding of venture financing structures and startup lifecycles
- Demonstrated ability to manage multiple deals and client relationships concurrently
- Prior law firm or in-house experience working with high-growth companies preferred
Education
- Juris Doctor (JD) from an accredited law school
Certifications
- Admission to the Louisiana State Bar (in good standing) or eligibility to waive in
Skills
- Proficiency in venture capital and corporate transactional work
- Excellent contract drafting and negotiation skills
- Strong client advisory and relationship-building abilities
- Attention to detail and exceptional organizational skills
- Ability to thrive in a fast-paced, entrepreneurial environment
- Familiarity with cap table management tools and venture deal software (e.g., Carta, LTSE Equity) is a plus
