We have an immediate opening for a Corporate Services Law Clerk with 10 years of experience. As a preferred candidate, you thrive in a fast-paced work environment, possess top-notch client service skills as well as extensive knowledge of corporate statutes and procedures.
Job Responsibilities and Key Competencies:
Preparing articles, including but not limited to incorporations and organizations, amendments, amalgamations, continuances, revivals and dissolutions
Preparing corporate documents to implement changes and update of minute books, including but not limited to dividend, bonus, redemption, purchase for cancellation, transfers and issuance of shares, and change of directors and officers
Drafts agreements and provides supporting documents relating to corporate and tax reorganizations and rollovers; share and asset purchases; and sale transactions
Drafts closing agendas for share/asset purchase transactions
Managing extra-provincial registrations and licensing
Conducts corporate due diligence reviews
Qualifications:
Successful completion of a recognized Law Clerk program, or equivalent work experience
10 years’ experience as a Corporate Law Clerk
Strong skills in Microsoft Office and Hummingbird Docs DM and Corplink
Excellent communicator with fundamental problem-solving and analytical skills
Detail-oriented, well organized, possessing an above-average ability in prioritizing and multi-tasking
Reliable and dependable
