Duties

• Draft '34 Act reports, including 10-K, 10-Q, and 8-K.
• Prepare 14C information statements and 14A proxies.
• Handle '33 and '34 Act registration statements, such as Form 10, S-1, and S-8.
• Manage private placements and exempt offerings.
• Conduct complex financing transactions and reverse mergers.
• Oversee mergers and acquisitions, and PIPE transactions.
• Prepare capitalization tables for various financing scenarios.

Requirements

• Minimum of three years of experience in corporate and securities law.
• Proficiency in drafting '34 Act reports and registration statements.
• Experience with complex financing and transactional matters.

Education

• Juris Doctor (JD) degree required.

Certifications

• Admission to the state bar.
