has been proud to be a part of this program for over 20 years. In 2020, Carney chose two summer interns from LEAD. They worked with our litigation and business teams to gain legal professional skills, including commercial and construction litigation, insurance law, corporate law, startups, estate planning, and state and federal tax. In the past, they have assisted and taken part in depositions, mediations, arbitration, and trials, performed legal research, worked with clients to file corporate documents, and participated in due diligence with M&A transactions. We are proud to announce we hired another Fellow from the program in 2020 as a first-year associate attorney.

Legal Employers Advancing Diversity in Washington (“LEAD-WA”) is a Washington non-profit organization created to increase diverse lawyers practicing in the Washington legal community. LEAD-WA, through its participating employers.
It provides summer associate opportunities to diverse law students from Washington’s three law schools: Gonzaga University School of Law, Seattle University School of Law, and the University of Washington School of Law. This program was previously known as the Puget Sound Minority Clerkship Program (“PSMCP”).
LEAD-WA was established by the Puget Sound Area Minority Fellowship Program (“PSAMFP”) Board to continue providing opportunities for traditionally underrepresented diverse law students to work in the various law firm and corporate law environments otherwise foster diversity in the profession.

Corporate Startup Attorney
JOB DESCRIPTION and RESPONSIBILITIES
Carney Badley Spellman is a mid-size law firm located in downtown Seattle. The firm focuses on mid-size, closely-held companies for its corporate and transactional legal services.
We are seeking a business associate attorney with a minimum of 4 years of corporate, securities, and commercial agreements experience. The ideal candidate will play a key role in expanding our busy startup practice group.
Candidate should have a strong academic and legal background, demonstrated ability to work well within a fast-paced, team-oriented environment. Experience should include debt and equity private placements, M&A, commercial agreements, equity incentive plans, formation, corporate governance, and providing general legal and business advice to clients.
Corporate Transactional Legal Assistant (can be remote)
JOB DESCRIPTION and RESPONSIBILITIES
Carney Badley Spellman is a mid-size law firm located in downtown Seattle. The firm focuses on mid-size, closely-held companies for its corporate and transactional legal services.
Our corporate-transactional business assistants and paralegals work closely with our clients and team of attorneys to form and maintain corporate entities, partnerships and LLCs. They also assist our attorneys and clients with mergers and acquisitions, financing, licensing and general corporate agreements.
Responsibilities include:
• Formation of Corporate Entities, Partnerships and Limited Liability Companies.
• Draft notices of organizational meetings and resolutions to be adopted.
• Draft minutes of organizational meeting of incorporator(s), stockholders or board of directors, or written consents in lieu of meeting.
• Prepare stock certificates.
• File documents to obtain business licenses.
• Draft UCC financing statements
• Process Form D filings.
• Create and maintain due diligence checklists for M&A transactions and financings.
• Prepare closing files/notebooks.
The ideal candidate will have a minimum of 15 years complex corporate law and transactional experience, a bachelor’s degree or equivalent work experience, proven exceptional work ethics and a strong commitment to delivering quality legal services. We also look for candidates who follow through with promptness, are pro-active thinkers, excellent communicators (verbal and written), committed to technology and can work well within a team atmosphere. Being organized is absolute as you will be working in a very fast-paced Teams environment.
Senior Litigation Paralegal (75-80 % can be done from home)
JOB DESCRIPTION and RESPONSIBILITIES
We are seeking applicants for a full-time e-discovery paralegal with 15 years of experience. The paralegal will work for multiple attorneys in our commercial and construction law practice groups.
all aspects of e-discovery, retrieving documents from clients, uploading, reviewing, tagging, and processing productions
organizing and indexing documents produced, maintaining privilege logs
preparing declarations, notices, and discovery requests
serving deposition notices and subpoenas
reviewing and assembling documents to be used at depositions
answering interrogatories, preparing witness lists
reviewing briefs and organizing appropriate exhibits
preparing for mediations, arbitrations and trial
Candidate should have outstanding verbal and written communication skills, strong attention to detail, excellent organizational and proofreading skills; experience working with multiple e-discovery software programs.
