Job Overview

A prominent national law firm is seeking a full-time Investment Management Associate Attorney with a minimum of 2 years of experience in corporate law, M&A, and/or investment management. This position offers a unique opportunity to join a collaborative team advising clients on private equity transactions, fund formation, and securities regulatory matters. Ideal for attorneys with a strong interest in the Investment Advisers Act, Investment Company Act, and related federal and state securities laws.

Location

• Winston-Salem, NC

Duties

• Advise clients on investment management matters, including fund structuring and private offerings

• Draft and negotiate private fund and investment documents

• Conduct statutory and regulatory analysis under the Investment Advisers Act, Investment Company Act, and securities laws

• Provide legal counsel on corporate governance, regulatory filings, and compliance matters

• Support private equity transactions and corporate deal work

• Collaborate with firm attorneys across disciplines on multi-faceted matters

Requirements

• Minimum of 2 years of relevant experience in corporate law, M&A, investment management, or securities regulation

• Demonstrated knowledge of federal and state securities laws

• Familiarity with private funds, investment advisers, and broker-dealer regulatory regimes

• High attention to detail and excellent judgment in regulatory interpretation

Education

• Juris Doctor (JD) from an accredited law school

• Strong academic credentials required

Certifications

• Licensed and in good standing with the bar of at least one U.S. jurisdiction

• Ability to become licensed in North Carolina if not already admitted

Skills

• Strong legal research, writing, and analytical skills

• Excellent verbal communication and client service abilities

• Proven ability to work collaboratively within a team structure

• Proficiency in reviewing and drafting transactional documents

• Ability to handle complex regulatory and compliance issues independently
