Job Overview: A prestigious law firm is seeking a Tax Associate with 5+ years of experience to join its dynamic national tax practice. The firm offers an exciting opportunity to work with leading technology, life sciences, and growth enterprises across all stages of development. The role will involve a wide range of federal, state, and international tax law matters, including mergers and acquisitions, capital markets, and corporate finance. This position also supports clients with equity financings, technology transfers, complex licensing and collaboration arrangements, and both domestic and international tax planning.

Location:

Duties:

• Provide tax planning and advisory services in federal, state, and international tax law matters.
• Assist clients in mergers and acquisitions, capital markets transactions, and corporate finance.
• Advise on equity financings, technology transfers, and complex licensing/collaboration arrangements.
• Support both domestic and international tax planning initiatives for clients.
• Work collaboratively with other departments to deliver comprehensive legal services.
• Maintain strong client relationships and provide exceptional client service.
• Prepare and review tax-related documents, agreements, and filings.
• Manage a diverse caseload in a fast-paced, deadline-driven environment.
• Participate in business development activities, including client pitches and presentations.

Requirements:

• 5+ years of experience in tax law, with a focus on mergers and acquisitions, capital markets, and corporate finance.
• In-depth knowledge of federal, state, and international tax law.
• Experience advising clients in technology, life sciences, or growth enterprise sectors is preferred.
• Proven ability to work in a fast-paced environment and manage multiple tasks effectively.
• Excellent verbal, written, and interpersonal communication skills.
• Strong work ethic, attention to detail, and analytical ability.
• Ability to work independently and as part of a collaborative team.

Education:

• Juris Doctor (JD) degree from an accredited law school.
• Strong academic credentials.

Certifications:

• Active bar membership in a relevant jurisdiction.
• Additional certifications or licenses in tax law (e.g., CPA) are a plus but not required.

Skills:

• Expertise in federal, state, and international tax law.
• Strong knowledge of corporate tax issues, including mergers, acquisitions, and financing.
• Experience in technology transfers, licensing agreements, and tax planning.
