The position involves sophisticated regulatory and transactional work related to registered investment funds and advisers. Advise registered investment companies and investment advisers on compliance with federal securities laws
Work extensively with the Investment Company Act of 1940 and the Securities Act of 1933
Lead or support fund-related transactions, including reorganizations and mergers
Provide guidance on mutual funds, ETFs, closed-end funds, and fund governance
Manage a diverse portfolio of matters in a fast-paced environment
Collaborate with shareholders and senior attorneys
Participate in client development and relationship management activities
4–7 years of experience in investment fund regulation and related transactional matters
Strong understanding of the legal framework governing registered funds and advisers
Experience advising on fund operations and independent director/trustee issues
Proven ability to manage complex, concurrent matters
Admission to practice in at least one U.S. jurisdiction or actively seeking admission
Juris Doctor (J.D.) degree from an accredited law school
Demonstrated academic excellence
Bar admission in good standing, or eligibility for admission in the jurisdiction of practice
Strong legal research and drafting skills
Excellent judgment and communication abilities
Organized and detail-oriented; able to meet deadlines
Collaborative and client-focused
Comfortable balancing transactional and regulatory work
