A law firm seeks a mid-level or senior associate to join their Executive Compensation and Employee Benefits team in Miami. The role focuses on the executive compensation aspects of mergers and acquisitions.

Duties

• Work on executive compensation and employee benefits in M&A transactions.
• Draft and negotiate executive employment agreements.
• Develop equity incentive plans, including profits interest plans.

Requirements

• Substantial experience with M&A, Section 280G, and Section 409A.
• Proficiency in drafting and negotiating executive agreements.

Education

• Juris Doctor (JD) degree required.

Certifications

• Bar admission in the state of Florida preferred.
