The candidate will be responsible for supporting global legal initiatives for the Legal team in a broad range of matters which may include corporate, securities, governance, sales, operations, employment, compliance, litigation, intellectual property and special projects to be assigned by the Chief Legal Officer. Responsibilities: Provide backend support to the sales, services, government and operations attorneys, including handling routine contract terms, including NDAs. Drafting and/or reviewing various Legal/HR policies. Handling subpoenas and other requests for employment records. Conducting global legal research. Support with the development and implementation of compliance and risk mitigation programs, processes and documentation including the design and development of training, awareness, tracking and monitoring programs. Project manage responses to litigation, pre-litigation demands agency charges and regulatory bodies and work with the team to conduct fact-finding and gather and organize relevant information, legal research (i.e., local court rules, calculating deadlines, etc.), maintaining calendars, and assist the team in case management including managing data preservation, collection, review and production procedures and working with outside counsel as necessary. Support internal investigations and the administration of the ethics reporting program. Provide corporate support, including prepare and file documentation, prepare and maintain data for SEC filings, research and prepare documentation for the formation and maintenance of corporate entities, prepare and track paperwork for mergers, acquisitions, dissolutions, amendments and withdrawals, draft corporate resolutions and related documents, organize minute books, and maintain and manage databases. Handle various trademark and general IP prosecution matters including applications, appeals, oppositions and invalidations, and prepare status reports and maintain a database for the team. Scale processes by creating and updating internal templates, policies, guidelines, and playbooks across a broad range of topics. Handle highly confidential and sensitive information with appropriate discretion. Prioritize people, projects and situations with professionalism and patience. Anticipate needs and proactively resolve potential problems. Should preferable have BS/BA degree. Recent college graduates encouraged to apply; prior paralegal experience is a plus.
