VP & Assistant General Counsel - Content Distribution

The candidate will serve as a day-to-day strategic business and legal analyst with respect to TelevisaUnivision’s US content distribution business, primarily in the areas of linear channels licensing and most-favored nations management. Manage, negotiate, and draft distribution deals for TelevisaUnivision’s existing channels portfolio and related content with traditional multichannel video programming distributors and innovative digital companies. Serve as TelevisaUnivision’s primary day-to-day resource with respect to compliance, which will include having a deep understanding of the existing obligations in TelevisaUnivision’s content distribution deals, a working knowledge of applicable accounting rules, and an extensive, practical ability to assess and manage risk allocations (including extensive knowledge of applicable litigation standards). Maintain a current understanding of applicable technology, including both traditional and internet-based delivery and distribution technology, geofiltering standards, and advertising tools. Work collaboratively with TelevisaUnivision’s US business divisions in developing and crafting strategic solutions to negotiation and other partnership challenges. Serve as the primary legal resource for all audits by television companies. Coordinate with TelevisaUnivision’s inbound content licensing team to ensure consistency across inbound and outbound deals. Should have a Juris Doctor degree. Currently licensed to practice law in at least one state; eligible to practice in California or New York. Minimum of 12 years of day-to-day experience negotiating and drafting high-value, complex commercial agreements, preferably in the area of content distribution. Minimum of 5 years of practical experience with digital technology, social media, and streaming products. Significant experience leading and negotiating deals with television and other content companies, app platforms, social media platforms, and smart device manufacturers. Deep knowledge of applicable consumer laws and regulations. Demonstrated ability to work collaboratively and strategically with business divisions to launch new products and craft innovative deals. Significant experience navigating compliance with most-favored nations provisions. Demonstrated organization, facilitation, communication, and presentation skills. Highly collaborative individual with ability to influence others and build strong professional relationships, including with technology, business, and legal partners. Deep experience managing high-stakes issues in a professional, assertive, and proactive manner. Strong organizational skills and ability to handle multiple, cross-functional projects.
