Duties

• Handle venture capital financings, including drafting and negotiating financing documents.
• Advise emerging companies on formation, governance, and corporate structuring.
• Support clients through mergers, acquisitions, and other strategic transactions.
• Prepare and review corporate agreements, including shareholder, operating, and commercial contracts.
• Counsel clients on securities law compliance and fundraising strategies.
• Conduct due diligence in connection with corporate transactions.
• Collaborate with legal teams to support clients' ongoing corporate needs.

Requirements

• 7 years of experience in corporate law, specifically in venture capital and emerging companies.
• Strong background in handling financing transactions and corporate governance matters.
• Ability to manage transactions independently and work with high-growth companies.
• Solid understanding of securities regulations and startup financing mechanisms.
• Exceptional drafting, negotiation, and client-advising skills.

Education

• Juris Doctor (J.D.) from an accredited law school.

Certifications

• Admission to the Illinois Bar.
