Job Title: Energy Project Finance Attorney
Job Overview:
A prestigious law firm based in Los Angeles, CA is seeking two seasoned legal professionals with extensive experience in project finance within the energy sector. One role will focus on debt structuring, while the other will specialize in tax equity transactions and mergers & acquisitions. Duties:
Lead legal advisory for energy sector transactions involving project development, acquisition, and financing
Serve as primary contact for clients, providing strategic legal guidance in renewable energy deals
Draft and negotiate complex financial agreements and related transaction documents
Collaborate with internal legal teams and manage junior attorneys through all stages of deal execution
Coordinate with external advisors, investors, developers, and energy clients to advance project goals
Contribute legal expertise in matters such as project finance, tax equity structures, and equity investments
Provide insight on relevant contracts including EPC, supply, offtake, and operations agreements
Requirements:
Minimum 5 years of experience in project finance transactions within the energy or infrastructure sector
Demonstrated experience with either:
Debt financing (e.g., construction loans, term debt, secured lending)
Equity-based financing (e.g., tax equity, joint ventures, M&A for renewable assets)
Strong knowledge of financial and operational contracts common in renewable project development
Skilled in drafting and negotiating transaction documents, including term sheets, purchase agreements, security instruments, and partnership structures
Licensed and in good standing with the California State Bar
Education:
Juris Doctor (J.D.) from an accredited and well-regarded law school
Certifications:
Active membership with the California Bar
Skills:
Excellent verbal and written communication
Sharp analytical and legal research capabilities
Ability to manage complex transactions and mentor junior attorneys
Confidence in working autonomously and collaboratively with cross-functional teams
Keen attention to detail and a proactive approach to legal problem-solving
