Job Overview:
A law firm located in Covington, KY, is seeking an experienced mid-level Tax Attorney to join its tax and transactional practice. This role is focused on providing tax guidance to privately held businesses and tax-exempt organizations. The firm is looking for an attorney to handle a range of tax matters, including mergers & acquisitions, private equity transactions, business succession planning, and other tax-related advisory services.

Duties:

• Advise clients on business succession planning and tax incentives for investors and property owners.
• Guide clients on private equity transactions, corporate governance, and mergers & acquisitions (M&A), either independently or in collaboration with the M&A team.
• Develop tax strategies and provide counsel regarding tax matters.
• Stay updated on changes to tax laws and regulations.
• Regularly inform clients about potential future tax issues that may arise.
• Draft and review contracts and agreements related to business sales, mergers, acquisitions, and associated due diligence.
• Perform other tasks as required within the transactional practice group.

Requirements:

• Excellent drafting, writing, and analytical skills.
• Strong attention to detail and exceptional organizational skills.
• Ability to manage multiple projects independently.
• Capable of conducting project-related research and analysis based on federal and state tax laws.
• Experience in tax basis calculations and related tax studies.
• Expertise in advising clients on the implications of new and updated federal and state tax laws.
• Juris Doctor (JD) degree with substantial financial or accounting experience. CPA, LLM, and/or Master’s in Tax preferred.
• 5-10 years of experience as a practicing tax attorney within a law firm.

Education:

• Juris Doctor (JD) from an accredited law school.
• Preferably CPA, LLM, and/or a Master’s in Tax.

Skills:

• Strong communication skills, both written and verbal.
• Analytical thinking with a keen eye for detail.
• Ability to handle complex tax matters and business transactions.
• Capability to offer counsel on legal consequences of federal and state tax law changes.
