Job Overview:
A national law firm is seeking a highly skilled Corporate Securities Attorney with 5 to 12 years of experience to join its Corporate Practice Group. The successful candidate will work on a wide range of securities-related matters including public company reporting, capital markets transactions, and corporate governance. This position offers the flexibility to work from any of the firm’s U.S. office locations or remotely.

Duties:
Prepare and file documents with the SEC, FINRA, NYSE, Nasdaq, and OTC Markets Group
Advise clients on securities compliance and disclosure obligations
Draft 10-Ks, 10-Qs, 8-Ks, proxy statements, registration statements, and other regulatory filings
Provide counsel on public and private offerings, including IPOs and PIPE transactions
Advise on corporate governance best practices and board responsibilities
Monitor and interpret securities law developments and implement changes as needed
Collaborate with internal legal teams on M&A and other strategic transactions
Requirements:
5–12 years of experience practicing corporate and securities law
Extensive knowledge of federal securities regulations and stock exchange rules
Demonstrated experience managing SEC and related regulatory filings
Proven ability to work directly with clients and handle complex matters independently
Admission to practice law in a U.S. jurisdiction or eligibility for admission without examination
Education:
Juris Doctor (J.D.) degree from an accredited law school
Certifications:
Active bar license in good standing in any U.S. jurisdiction
Skills:
Exceptional legal research, drafting, and analytical skills
Strong communication and interpersonal abilities
Detail-oriented with excellent organizational and time management skills
Comfortable in both independent and collaborative work environments
Skilled at handling multiple projects with shifting priorities under tight deadlines
