Job Overview

An established U.S. law firm is seeking a Corporate Associate to join its Investment Services practice group. This is a high-level opportunity for a motivated attorney with 4–7 years of experience advising registered investment companies and advisers. The role offers significant involvement in regulatory matters, transactional work, and client development across a nationally integrated legal platform. The position is available in multiple major markets, offering flexibility and professional growth.

Duties

• Provide legal counsel on matters involving the Investment Company Act of 1940 and the Securities Act of 1933

• Advise on regulatory and compliance matters for registered investment companies and advisers

• Support or lead investment fund reorganizations, mergers, and similar transactions

• Counsel on mutual funds, ETFs, closed-end funds, and governance of independent trustees/directors

• Work closely with shareholders and clients in a collaborative team environment

• Manage multiple matters with a high level of independence and attention to detail

• Contribute to client-facing and business development efforts

Requirements

• 4–7 years of relevant experience with registered funds and investment adviser matters

• Strong understanding of federal securities laws and compliance obligations

• Experience in fund transactions, including reorganizations or mergers

• Ability to handle complex assignments and deadlines efficiently

• Bar admission in good standing, or active steps toward admission in applicable jurisdiction

Education

• Juris Doctor (J.D.) degree from an accredited U.S. law school

• Strong academic credentials preferred

Certifications

• Licensed and in good standing with at least one U.S. state bar

• Admittance or pending admittance in the jurisdiction of intended office location
