Duties

  • Assist with structuring and executing project finance transactions
  • Draft, review, and negotiate credit agreements and related financing documents
  • Prepare and negotiate collateral documentation and intercreditor agreements
  • Conduct due diligence on key project contracts, including offtake agreements, EPC contracts, supply agreements, and operations and maintenance agreements
  • Coordinate with lenders, sponsors, and project stakeholders throughout the financing process
  • Review project documentation and analyze legal risks associated with project finance transactions
  • Support closing processes and prepare transaction-related materials
  • Collaborate with internal teams and clients on financing strategy and transaction execution

Requirements

  • 3 to 6 years of experience in project finance or related transactional practice
  • Experience working on debt project finance transactions
  • Familiarity with credit documentation and financing structures used in project finance deals
  • Ability to manage multiple transaction timelines and meet demanding deadlines
  • Strong ability to work collaboratively with clients and multidisciplinary deal teams

Education and Certifications

  • Juris Doctor (JD) from an accredited law school
  • Admission to practice law in California or eligibility for admission

Skills

  • Strong transactional drafting and negotiation skills
  • Knowledge of project finance structures and financing documentation
  • Legal due diligence and risk assessment abilities
  • Strong written and verbal communication skills
  • Organizational skills and the ability to manage complex transactions
