A distinguished law firm located in Los Angeles, CA, is seeking a driven mid-level associate to join its dynamic Investment Funds & Private Capital practice. The ideal candidate will bring substantial experience advising on private equity fund formation, capital structuring, and investor negotiation strategy. This opportunity suits a candidate looking to play a pivotal role in complex fund work for leading clients across industries.

Duties:

• Lead and support the structuring and formation of private investment vehicles, including limited partnerships and co-investment structures

• Draft, review, and negotiate fund documentation, including limited partnership agreements and private placement memoranda

• Advise fund sponsors on investor-side matters, regulatory considerations, and marketing strategies

• Engage with clients on fundraising and capital commitment processes

• Coordinate with tax, regulatory, and international counsel as needed for cross-border fund issues

• Stay current on market trends and contribute to client advisories or knowledge initiatives

Requirements:

• Experience focusing on investment fund formation, ideally at a major law firm

• Demonstrated ability to work independently on complex fund matters

• Strong client-facing and negotiation skills

• Detail-oriented approach with the ability to manage multiple concurrent workstreams

• Active membership in the California Bar, in good standing

Education:

• Juris Doctor (JD) from an accredited law school

• Strong academic track record

Certifications:

• Admitted to practice in the State of California

Skills:

• Deep understanding of private equity fund structures and formation strategy

• Proficiency in drafting fund-related documents and managing due diligence processes

• Familiarity with relevant U.S. securities and investment advisor regulations

• Excellent written and verbal communication

• Ability to manage deal timelines, expectations, and multi-party coordination
