A law firm seeks a mid-level associate to join its Corporate & Media Transactions team in Century City, Los Angeles. This role involves working on a variety of media-focused corporate deals for clients across the U.S., U.K., EU, and Asia, within a collaborative and high-energy environment.
Duties
Collaborate on entertainment, sports, and media sector transactions, including mergers and acquisitions, joint ventures, and private equity investments
Structure and negotiate IP-based financing arrangements, film and television funding agreements, and co-production, licensing, and distribution contracts
Support cross-border consolidations and strategic partnerships, coordinating with counsel in multiple jurisdictions
Draft and review transactional documentation, such as asset purchase agreements, equity financing instruments, and commercial agreements
Liaise with senior attorneys and deal teams to ensure the timely execution of closing deliverables
Conduct legal research on industry-specific issues, regulatory considerations, and contract interpretations
Manage multiple assignments concurrently, maintaining deadlines in a fast-paced transactional practice
Requirements
3–4 years of experience at a major law firm or corporate legal department in entertainment, sports & media, M&A, and private equity
Proven track record of handling deal components independently while collaborating effectively on team projects
Demonstrated ability to navigate complex, multi-jurisdictional transactions involving media companies or related clients
Excellent written and verbal communication skills, with attention to detail in drafting and negotiating
Comfort interacting directly with internal stakeholders and external clients, including studios, production firms, investors, and distributors
Capacity to adapt in a dynamic practice environment and contribute creative solutions to transactional challenges
Education
Juris Doctor (JD) from an ABA-accredited law school
Strong academic performance, evidenced by transcripts submitted upon application
Certifications
Active bar membership in California (or eligibility to transfer), with good standing maintained
Any additional entertainment, sports & media-focused certifications or continuing legal education credits (preferred but not required)
Skills
High proficiency in drafting and negotiating complex commercial agreements, particularly within the media sector
Robust research capabilities to analyze cross-border regulatory and intellectual property issues
Strong organizational skills to handle concurrent transactions and meet tight deadlines
Collaborative mindset: able to work seamlessly on multi-disciplinary teams and cultivate positive internal and client relationships
