A nationally recognized law firm is seeking an experienced Emerging Companies & Venture Capital (ECVC) Associate Attorney to join its Business Practice Group. This position offers the opportunity to work with a broad range of clients, from startups to established companies, across a variety of industries. The associate will play a key role in sophisticated transactional matters, collaborating with attorneys across multiple offices and benefiting from a culture that emphasizes mentorship, diversity, and professional development.

Advise on entity selection, business formation, and organizational governance structures
Handle day-to-day business matters for both small and large business clients
Manage and advise on capital raise transactions, including:
Private offerings
Debt and equity financings from friends and family, angel investors, venture capital funds, syndicates, and traditional lenders
Counsel clients on public company matters, capital markets, securities, and M&A (preferred)
Collaborate with attorneys across multiple offices on complex business transactions
Provide responsive and professional legal support with a client-focused approach
Engage in firm initiatives promoting diversity, equity, inclusion, and pro bono work (optional but encouraged)
Minimum of 3 years of experience in corporate governance, capital raising, and business counseling
Prior experience representing early-stage brands in financing transactions
Ability to manage multiple projects independently and efficiently
Strong commitment to client service and relationship-building
Excellent analytical, organizational, and writing skills
Effective communication skills, both verbal and written
Ability to work collaboratively within a diverse team
Juris Doctor (J.D.) degree from an ABA-accredited law school
Active bar admission and license to practice law
Knowledge of private offerings, venture capital financing, securities compliance, and corporate transactions
Familiarity with public company governance, capital markets transactions, and M&A (preferred)
Strategic thinking and business-focused problem-solving
Strong organizational and project management abilities
